Ceres Heilmittel AG – Online Shop (Switzerland / Liechtenstein)

1. Scope and Contractual Partners

1.1 These General Terms and Conditions (hereinafter "GTC") govern the legal relationship between Ceres Heilmittel AG, Bachtobelstrasse 6, CH-8593 Kesswil (hereinafter "we", "us" or "Ceres") and customers (hereinafter "customer" or "you") when purchasing products via our online shop at ceresheilmittel.ch/de/shop (hereinafter "Shop"), provided that delivery is made to Switzerland or Liechtenstein.

1.2 Our Shop is exclusively aimed at end customers for personal use or use within their own household. Commercial resale and export are not permitted.

1.3 Deviating or supplementary terms and conditions of the customer do not become part of the contract unless we have explicitly agreed to them in writing.

1.4 The version of these GTC valid at the time of the order is authoritative.

3. Products and Assortment

3.1 Our assortment includes:

•       herbal medicinal products within the meaning of the Heilmittelgesetz (HMG), authorised by Swissmedic;

•       products for external use and body care (cosmetics within the meaning of VKos / LGV).

3.2 Product images may technically differ from the original product—especially due to the colour display of your end device. The product description in the Shop and the information on the delivered product are authoritative.

3.3 For information on ingredients, application, dosage and warnings, please refer to the product page as well as the package leaflet or the labelling on the packaging.

3.4 Prescription medicinal products are not offered in the Shop. If expert advice is recommended for individual medicinal products, we point this out on the respective product page.

4. Conclusion of Contract

4.1 The presentation of products in the Shop is not a binding offer but an invitation to you to submit an offer to purchase.

4.2 By completing the order process and clicking the "Buy" / "Order with obligation to pay" button, you submit a binding offer to purchase the products contained in the shopping cart. Before sending, you can check and correct your entries at any time.

4.3 After receiving your order, we will send you an automatic acknowledgement of receipt by e-mail. This acknowledgement of receipt does not yet constitute acceptance of the contract.

4.4 The purchase contract is concluded when we expressly accept your offer (separate order confirmation) or dispatch the goods to you and confirm this by e-mail. We reserve the right to reject an offer without giving reasons.

4.5 The contract language is German.

5. Prices and Shipping Costs

5.1 All prices are in Swiss francs (CHF) and include the statutory value added tax unless otherwise stated. The price displayed in the Shop at the time of the order is authoritative.

5.2 The shipping costs will be shown separately to you no later than before the completion of the order. Please refer to our shipping information in the Shop for details.

5.3 Additional customs and import duties may apply for deliveries to Liechtenstein or other countries and must be borne by you unless otherwise agreed.

6. Payment Terms

6.1 The payment methods available in the Shop will be displayed to you during the ordering process. We reserve the right to exclude individual payment methods in individual cases and to refer to other payment methods.

6.2 The purchase price is due upon conclusion of the contract unless another payment term is agreed. For purchases on account, the payment terms specified on the invoice apply.

6.3 The delivered goods remain our property until full payment has been made (retention of title according to Art. 715 ZGB).

6.4 In case of default in payment, we are entitled to charge the statutory default interest according to Art. 104 OR. We reserve the right to claim further delay damage.

7. Delivery and Transfer of Risk

7.1 Delivery is made to the delivery address you specify within Switzerland and Liechtenstein.

7.2 Delivery times are non-binding estimates unless expressly stated as binding. We are not liable for delays caused by circumstances beyond our control (especially delays caused by transport companies, customs clearance or force majeure).

7.3 Partial deliveries are permitted provided they are reasonable for you and do not result in additional costs for you.

7.4 Benefit and risk pass to you upon delivery of the goods to you or to a person authorised to receive them designated by you.

8. Voluntary Right of Return

8.1 Under Swiss law, there is generally no statutory right of withdrawal or return for purchase contracts made through our online shop.

8.2 However, we voluntarily grant you a right of return of 14 days from receipt of the goods unless otherwise specified below. Within this period, you may return the goods unopened, unused, and in a saleable condition, in the original packaging and with the invoice enclosed.

8.3 The following are excluded from the right of return:

•       opened or unsealed medicinal products and food supplements – for reasons of health and hygiene protection;

•       opened cosmetics and body care products;

•       perishable goods or goods whose expiry date is imminent;

•       products customised or specially made at the customer’s request.

8.4 You bear the costs of return shipping. After receipt and inspection of the return, we will refund you the purchase price via the original payment method or by arrangement. Any shipping costs for the original delivery will only be refunded in the case of a complete return and unless otherwise agreed.

8.5 Please contact us before returning goods at info@ceresheilmittel.ch, so that we can assign the process.

9. Complaints and Warranty

9.1 You are obliged to inspect the goods within a reasonable period after receipt for defects and to notify us of any defects in writing (e.g. by email) without delay but no later than within 7 days after discovery. Hidden defects must be reported without delay after their discovery.

9.2 In the case of a justified defect, you have the right, at our choice, to subsequent improvement or replacement delivery. If subsequent improvement or replacement delivery fails or is impossible, you may reduce the purchase price or withdraw from the contract.

9.3 The warranty period is two years from delivery, for products with limited shelf life at most until the stated expiry date.

9.4 Further statutory claims remain reserved.

10. Liability

10.1 We are liable for direct damages caused by us or our vicarious agents through intentional or grossly negligent behaviour.

10.2 Liability for slight negligence is excluded to the extent permitted by law. Exceptions remain claims for personal injuries, under the Product Liability Act (PrHG) and from mandatory law.

10.3 We are not liable for indirect damages, consequential damages, lost profits or damages to third parties to the extent permitted by law.

10.4 The above limitations of liability also apply accordingly to our employees, organs and vicarious agents.

11. Data Protection

We process personal data in accordance with the Swiss Data Protection Act (DSG) and—where applicable—the GDPR. Details on the processing of your personal data can be found in our Data Protection Declaration.

If we use service providers to operate our Shop (in particular Shopify as shop backend, payment service providers, logistics partners), the processing and disclosure of your data is limited to the extent necessary and based on a permissible legal basis.

12. Copyright and Trademark Rights

12.1 All content of the Shop—especially texts, images, graphics, logos, trademarks, videos and sound recordings as well as their selection and arrangement—are protected by copyright and/or trademark law. Unless otherwise indicated, the rights holders are Ceres Heilmittel AG, Ceres Heilmittel GmbH or their licensors.

12.2 Use of the content is permitted only for private, non-commercial purposes. Any reproduction, distribution, public reproduction or editing beyond this requires our prior written consent.

13. Final Provisions

13.1 Should individual provisions of these GTC be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision.

13.2 Changes or additions to these GTC require written form; this also applies to the waiver of the written form requirement.

13.3 We reserve the right to adjust these GTC at any time. For contracts already concluded, the version valid at the time of contract conclusion applies.

13.4 This contract is governed exclusively by Swiss law to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the conflict of law provisions of the IPRG.

13.5 The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Kreuzlingen (Thurgau, Switzerland). Mandatory statutory courts—especially the consumer jurisdiction at the customer’s place of residence according to Art. 32 ZPO—remain reserved.
